Terms of Service

These Terms of Service form a contract between you and HashX LLC, HashX, we, us, or our. They govern your access to and use of our websites, commerce software, website-building tools, checkout, payment tools, APIs, and related services.
1. Who These Terms Cover
These Terms apply to merchants that use HashX to build, operate, or accept payments for websites, storefronts, checkout experiences, or other commerce workflows; customers who pay through HashX-powered checkout experiences; and anyone else who accesses our services.
If you use HashX on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for that organization.
By accessing or using HashX, creating an account, submitting a transaction, or authorizing someone else to use HashX on your behalf, you agree to these Terms.
2. HashX Services
HashX provides technology-driven commerce software and payment infrastructure that helps merchants build online experiences, manage commerce workflows, accept supported card and bank payment methods, process transactions, and receive settlement payouts. Payment availability depends on the merchant, customer, country, currency, risk profile, and payment method.
HashX works with payment processors, acquiring banks, card networks, bank payment networks, identity, compliance, and fraud prevention providers to deliver the services, together, Payment Partners. HashX may route transactions through any eligible Payment Partner and may change providers or payment methods at any time.
For payment processing, merchants authorize HashX and our Payment Partners to receive, hold, settle, and disburse transaction proceeds on the merchant's behalf, less fees, refunds, disputes, reserves, and other amounts owed. Receipt of payment by HashX or a Payment Partner satisfies the customer's payment obligation to the merchant for that transaction amount.
Unless we expressly say otherwise, HashX is not a bank and does not provide deposit accounts, lending, or stored value accounts. Any balance or payout information shown in the platform is a record of amounts payable, not a bank deposit, and does not earn interest.
3. Merchant Responsibilities
Merchants are responsible for their products, services, websites, storefront content, prices, order terms, fulfillment, refunds, customer support, taxes, licenses, disclosures, and compliance with laws in every country where they sell or operate.
Merchants are responsible for their HashX account, authorized users, websites, domains, content, settings, integrations, and instructions sent through HashX, including activity by anyone they allow to access their account.
Merchants must provide accurate business, ownership, tax, settlement, and contact information, keep it current, and provide documents we request for onboarding, underwriting, identity verification, sanctions screening, fraud prevention, tax reporting, or payment partner requirements.
Merchants must not submit transactions or use HashX for illegal, deceptive, abusive, high-risk, or restricted activities, including counterfeit goods, unauthorized goods or services, unlawful gambling, weapons, regulated financial products without approval, drugs, sanctions violations, money laundering, or activity that creates excessive disputes, fraud, or network risk.
4. Customer Payments
Customers authorize the merchant, HashX, and our payment partners to process the selected payment method for the amount shown at checkout, including applicable taxes, shipping, and other disclosed charges.
For bank payment methods, the customer must have authority over the bank account used and must provide any authorization required by applicable law or payment network rules. Bank payments may be reversed, returned, delayed, or rejected by the relevant bank or network.
HashX helps process payment, but the merchant is the seller of record unless the checkout clearly states otherwise. Questions about products, delivery, cancellations, refunds, or merchant policies should be directed to the merchant.
5. Fees and Payouts
HashX charges fees for transactions and related technology or commerce services as disclosed in the dashboard, pricing page, order form, invoice, or other written notice. Fees may include processing, platform, software, currency conversion, payout, dispute, refund, or account fees, and may be deducted before settlement.
We may deduct fees, refunds, chargebacks, bank returns, reserves, negative balances, taxes, fines, and other amounts owed from merchant payouts, or invoice the merchant separately. Unless we say otherwise, fees are non-refundable.
Payout timing is not guaranteed. We may delay, suspend, or hold payouts if required by law, payment partners, card or bank network rules, risk review, suspected fraud, excessive disputes, incomplete verification, or a negative balance.
We may require a reserve, including a fixed amount or percentage of settlement funds, to cover actual or anticipated refunds, chargebacks, bank returns, fees, fines, negative balances, or other payment risk. A reserve may remain in place after termination until we determine the risk has ended.
6. Refunds, Returns, and Disputes
Merchants are responsible for refunds, chargebacks, bank returns, payment reversals, dispute fees, network assessments, fines, and losses related to their transactions, even after payouts are sent.
We may debit merchant balances, future payouts, settlement accounts, or payment methods on file to recover amounts owed. Merchants must provide requested evidence and respond promptly to disputes or risk inquiries.
Amounts owed to HashX are due immediately and may survive account closure or termination.
7. Compliance and Payment Rules
Users must comply with all applicable laws, card network rules, bank payment rules, sanctions, anti-money laundering requirements, export controls, consumer protection laws, tax obligations, and data security standards that apply to their use of HashX.
Payment Partners and payment method providers may impose additional rules, eligibility requirements, and agreements. If required, merchants must accept those requirements to continue using the affected payment method.
Merchants must protect payment data and must not store, process, or transmit raw card data unless expressly approved by HashX and permitted by applicable payment security requirements. We may suspend or terminate services if compliance risk is unacceptable.
8. Data and Privacy
Our Privacy Policy explains how we collect, use, share, and protect personal data. By using HashX, you agree that we may process data as described in that policy and share data with payment, banking, compliance, fraud, infrastructure, software, analytics, and professional service providers as needed to provide the services.
9. Intellectual Property
HashX and its services, software, website tools, templates, designs, logos, and content are owned by HashX or its licensors. We grant users a limited, non-exclusive, non-transferable right to use the services only as allowed by these Terms.
Users retain ownership of their own content. Users grant HashX the rights needed to host, display, process, and transmit that content to provide and improve the services.
10. Suspension and Termination
We may reject, limit, suspend, or terminate access to HashX, disable websites or integrations, block transactions, remove payment methods, or hold payouts if we believe a user has violated these Terms, created legal or financial risk, failed verification, or used the services in a harmful way.
Merchants remain responsible for all fees, disputes, refunds, chargebacks, returns, taxes, fines, negative balances, and other obligations that arose before or after termination.
11. Disclaimers
The services are provided as is and as available. To the maximum extent permitted by law, HashX disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free operation.
12. Liability and Indemnity
To the maximum extent permitted by law, HashX will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or payment method declines.
To the maximum extent permitted by law, HashX's total liability for any claim will not exceed the fees paid to HashX for the services giving rise to the claim during the three months before the claim arose.
Merchants will indemnify and hold HashX harmless from claims, losses, fees, penalties, and expenses arising from their products or services, customer disputes, taxes, misuse of HashX, violation of law, breach of these Terms, or prohibited activity.
13. Changes
We may update these Terms from time to time. If changes are material, we will provide notice by posting the updated Terms, sending an email, or using another reasonable method. Continued use of HashX after the effective date means the updated Terms apply.
14. Governing Law
These Terms are governed by the laws of the State of Nevada and the United States, without regard to conflict of laws rules. The parties consent to the jurisdiction of courts located in Clark County, Nevada for disputes that are not resolved informally, unless applicable law requires another forum.
